Terms of Service

1. Acceptance of Terms

By accessing or using BuyBox ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform. These Terms constitute a legally binding agreement between you and BuyBox.

2. Description of Service

BuyBox is a business intelligence platform that provides:

  • Business discovery and search capabilities across multiple data sources
  • Data enrichment from public records, directories, and state registries
  • Outreach management tools including letter fulfillment, email automation, and phone integration
  • Strategy organization and communication tracking
  • Business analytics through accounting system integrations (QuickBooks, NetSuite)

3. Account Registration

To use the Platform, you must register for an account. You agree to:

  • Provide accurate, current, and complete registration information
  • Maintain the security of your password and account
  • Promptly update your account information as needed
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use of your account

4. Acceptable Use

You agree NOT to use the Platform to:

  • Violate any applicable laws or regulations, including CAN-SPAM, TCPA, or state telemarketing laws
  • Send unsolicited communications that violate anti-spam regulations
  • Harass, threaten, or intimidate any business or individual
  • Misrepresent your identity or affiliation
  • Scrape, harvest, or collect data beyond your authorized use
  • Interfere with or disrupt the Platform's infrastructure
  • Attempt to gain unauthorized access to any systems or data
  • Use the Platform for any fraudulent or deceptive purposes
  • Resell or redistribute Platform data without authorization

5. Outreach and Communication Services

5.1 Letter Fulfillment

When you use our letter fulfillment service, you are responsible for the content of your letters. We reserve the right to refuse to send letters that contain illegal, defamatory, or inappropriate content.

5.2 Email Services

You agree to comply with all applicable email regulations including CAN-SPAM. You must include accurate sender information, honor opt-out requests within 10 business days, and not use deceptive subject lines.

5.3 Phone and Voice Services

Phone services are provided through Twilio. You agree to comply with TCPA and all applicable telemarketing regulations. You are responsible for maintaining appropriate do-not-call lists and obtaining required consents.

5.4 Gift Basket Services

Gift basket delivery is fulfilled through third-party vendors local to recipients. Delivery times and availability may vary. We are not responsible for the quality of third-party fulfilled items.

6. Data and Business Information

6.1 Data Accuracy

While we strive to provide accurate business information, we aggregate data from public sources and cannot guarantee its accuracy, completeness, or timeliness. You are responsible for verifying information before relying on it.

6.2 Data Use Restrictions

Business data provided through the Platform is licensed for your internal business purposes only. You may not resell, redistribute, or create derivative databases from our data without express written permission.

6.3 Third-Party Integrations

When businesses connect their accounting systems (QuickBooks, NetSuite) for due diligence, you agree to handle their financial data confidentially and in accordance with any agreed-upon terms with the business owner.

7. Fees and Payment

  • Subscription fees are billed in advance on a monthly or annual basis
  • Usage-based fees (letters, calls, gift baskets) are billed in arrears
  • All fees are non-refundable unless otherwise specified
  • We may change pricing with 30 days notice
  • Failure to pay may result in account suspension or termination

8. Intellectual Property

The Platform, including its design, features, and content, is owned by BuyBox and protected by intellectual property laws. You retain ownership of content you create (letter templates, voice recordings, etc.) but grant us a license to use it to provide our services.

9. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BUYBOX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless BuyBox from any claims, damages, or expenses arising from your use of the Platform, your violation of these Terms, or your violation of any third-party rights, including claims related to your outreach activities.

12. Termination

Either party may terminate this agreement at any time. Upon termination:

  • Your access to the Platform will be revoked
  • You may request export of your data within 30 days
  • Provisions that by their nature should survive will remain in effect
  • Outstanding fees remain payable

13. Modifications to Terms

We may modify these Terms at any time. Material changes will be communicated via email or Platform notification at least 30 days before taking effect. Continued use after changes constitutes acceptance.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in accordance with the AAA Commercial Arbitration Rules, except that either party may seek injunctive relief in court.

15. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and BuyBox.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
  • Waiver: Failure to enforce any right does not constitute a waiver.
  • Assignment: You may not assign these Terms without our consent.
